Terms of Service — J's List AI

The short version (not a substitute for the full Terms)

J’s List AI (“we,” “us,” or the “Platform”) runs a marketplace at jonslistai.com. Businesses post what they need; independent AI professionals respond with proposals.

Posting a listing costs $4.99 per ad. It’s a one-time, per-listing fee — no subscription, no monthly bills. Your listing stays live on the marketplace until you remove it or until it’s taken down under these Terms. The fee is non-refundable once the ad goes live.

We are not a party to the actual work between you and any service provider. We don’t guarantee results, and we don’t act as either party’s employer, agent, or attorney. The person or company you hire is who you contract with.

1.Acceptance of These Terms

In plain English: By using J’s List AI, you’re agreeing to these Terms. If you don’t agree, don’t use the site.

These Terms form a binding legal contract between you (“you” or “User”) and J’s List AI. By accessing, browsing, registering for, or otherwise using the Service, you represent that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

2.Who Can Use J’s List AI

In plain English: You must be 18 or older and legally able to enter a contract.

To use the Service you must (a) be at least 18 years old and legally able to enter into a binding contract under the laws of your jurisdiction, (b) not be barred from using the Service under any applicable law, and (c) complete the registration process and provide accurate and current information.

We may refuse service, terminate accounts, or remove content at our discretion, including where we have reason to believe a User has violated these Terms, engaged in fraudulent activity, or created risk for the Platform or other Users.

3.Your Account

3.1 Registration

To post a listing, hire a provider, or contact other Users, you must register an account and provide accurate, complete, and up-to-date information. You are responsible for keeping that information current.

3.2 Security

You are responsible for all activity that occurs under your account and for keeping your password confidential. Notify us immediately at support@jonslistai.com if you suspect unauthorized access.

3.3 One Account per User

You may not create or maintain more than one active account per person or business without our prior written consent. Accounts are non-transferable.

4.How the Marketplace Works

In plain English: We’re the bulletin board, not the contractor. You hire the provider — we just make the connection.

4.1 Our Role

J’s List AI operates an online marketplace that lets Clients (small businesses and other buyers) post listings describing AI-related services they want, and Providers (independent AI engineers, consultants, and firms) respond with proposals. The Service includes the website, listing tools, messaging, and related features.

4.2 We Are Not a Party to User Agreements

J’s List AI is not a party to any contract, engagement, or transaction between Clients and Providers. We do not employ Providers, do not supervise or control the work they perform, and do not guarantee the quality, timing, safety, legality, or outcome of any services delivered. Clients and Providers are independent of each other and of J’s List AI.

4.3 Due Diligence

You are responsible for evaluating any person or company you engage through the Service, including verifying credentials, references, work product, data-security practices, and insurance coverage. We may display provider badges or verification signals, but these are informational only and do not constitute a recommendation, endorsement, or guarantee.

4.4 No Circumvention

Clients and Providers who meet through the Service agree to transact through the Service for at least twelve (12) months following the initial introduction and not to knowingly use the Platform to solicit contact information solely to move the relationship off-platform to avoid fees. This clause does not prevent Users from continuing legitimate off-platform relationships that existed before the introduction.

5.Fees & Billing

In plain English: $4.99 per ad, charged once at the time you post. No subscription and no recurring bills.

5.1 Listing Fee

Posting a listing on J’s List AI costs $4.99 USD per listing (the “Listing Fee”). This is a one-time, per-listing charge. Each new listing you post requires a new Listing Fee. Your ad remains visible on the marketplace until you remove it, it is filled, or it is taken down in accordance with these Terms.

5.2 When You Are Charged

The Listing Fee is charged once, at the time you submit your listing for publication. J’s List AI does not automatically renew or re-bill you for the same listing. No recurring subscription is created by posting an ad.

5.3 Payment Processor

Payments are processed by Stripe, Inc. or another PCI-compliant third-party processor. We do not store full payment card numbers on our servers. Your payment relationship is also governed by the processor’s terms.

5.4 Taxes

The Listing Fee is exclusive of applicable taxes (including sales, use, VAT, GST, or similar). Where we are required to collect such taxes, they will be added to your receipt. Where we are not required to collect, you are responsible for self-assessing and paying any applicable taxes in your jurisdiction.

5.5 Price Changes

We may change the Listing Fee at any time for future listings. Any change applies only to listings posted after the new price takes effect; it does not retroactively affect listings you have already paid for. The current Listing Fee will always be shown to you before you complete payment.

5.6 Failed Payments

If your payment fails, declines, or is later reversed (including by chargeback), your listing will not go live, or if already posted may be removed. You are responsible for ensuring valid payment details and sufficient funds at the time of posting.

5.7 Other Fees

We may introduce additional optional paid features in the future (for example, featured placement, priority matching, or premium provider tools). Any such fees will be clearly disclosed before you incur them, and their terms will control to the extent they conflict with this Section 5.

5.8 Payments Between Users

The Listing Fee covers only the cost of posting your ad on J’s List AI. Payments for services rendered by a Provider to a Client are separate and are made directly between those parties. J’s List AI does not hold, escrow, or process those service payments unless we explicitly introduce and facilitate payment processing for services (in which case additional terms will apply).

6.Removing Listings & Refunds

In plain English: You can take your ad down anytime from your account. The $4.99 fee is non-refundable once the ad goes live.

6.1 Removing Your Listing

You may remove (close, hide, or delete) your listing at any time from your account dashboard or by emailing support@jonslistai.com. Removing your listing does not generate a refund.

6.2 Refund Policy

The Listing Fee is non-refundable once your ad has gone live, except where a refund is required by applicable law. In limited cases we may, at our sole discretion, issue a refund — for example, if your payment was duplicated due to a technical error, if we removed your ad for reasons unrelated to your conduct, or if your ad never became publicly visible for reasons within our control. Refund requests should be sent to billing@jonslistai.com.

6.3 Disputed Charges

If you believe you have been charged in error, contact billing@jonslistai.com within sixty (60) days of the charge so we can investigate. Initiating a chargeback with your card issuer without first contacting us may result in account suspension while the dispute is pending.

7.Your Content & Listings

7.1 What “Your Content” Means

“Your Content” means everything you submit, post, or transmit through the Service — listing descriptions, business names, logos, photos, messages, attachments, reviews, profile information, and any other material.

7.2 Ownership & License to Us

You keep ownership of Your Content. By submitting it to the Service, you grant J’s List AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, modify (for formatting), and create derivative works of Your Content solely as needed to operate, promote, and improve the Service. This license ends a reasonable time after you remove the content or close your account, except for copies retained for backup, legal, or audit purposes.

7.3 Your Warranties

You represent and warrant that (a) you own or have all necessary rights to Your Content, (b) Your Content does not infringe any third party’s intellectual property, privacy, publicity, or other rights, and (c) Your Content complies with these Terms and all applicable laws.

7.4 Moderation

We may, but are not obligated to, review, edit, refuse, or remove any User Content at any time, in our sole discretion, including content that we believe violates these Terms or is otherwise objectionable.

8.Acceptable Use

In plain English: Don’t spam, scam, or break the law on our platform.

You agree not to do, and not to help anyone else do, any of the following:

Post false, misleading, deceptive, fraudulent, or unlawful content;
Impersonate any person or business or misrepresent your affiliation;
Offer or solicit services that are illegal in any applicable jurisdiction, including services that generate or facilitate non-consensual sexual content, deepfakes of real people without consent, CSAM, weapons, malware, or fraud;
Harass, threaten, stalk, defame, or discriminate against any other User;
Send unsolicited commercial messages (spam), engage in pyramid schemes, or promote multi-level marketing outside of legitimate listings;
Attempt to probe, scan, or test the vulnerability of the Service; circumvent rate limits, authentication, or security controls; or interfere with service availability;
Use automated means (bots, scrapers, crawlers) to access the Service or collect information from it without our prior written permission;
Use the Service to train or evaluate machine learning models without our prior written permission;
Reverse engineer, decompile, or attempt to extract source code from the Service, except as expressly permitted by law;
Infringe or misappropriate any intellectual property, trade secret, or proprietary right;
Disclose the confidential information or personal data of any third party without lawful basis;
Circumvent platform fees or solicit off-platform transactions contrary to Section 4.4.

Violations may result in warnings, content removal, listing removal, suspension, permanent ban, forfeiture of fees, and referral to law enforcement.

9.Communications & Messaging

By creating an account you consent to receive transactional communications related to the Service (billing receipts, account notices, security alerts, and legally required notifications) by email and in-app. You may opt out of non-essential marketing communications at any time via the unsubscribe link in those emails or in your account settings.

Conversations between Users through the in-platform messaging system may be stored by us for trust, safety, dispute resolution, legal, and service-improvement purposes, subject to our Privacy Policy.

10.Reviews & Ratings

You may be invited to leave reviews or ratings of Providers you have worked with (or, if you are a Provider, of Clients). Reviews must be honest, based on first-hand experience, and free of unlawful content, personal attacks, or confidential information. We may remove reviews that violate these standards. We do not edit reviews to make them more positive or negative, and we do not accept payment to remove negative reviews.

11.Intellectual Property

The Service, including its software, design, text, graphics, logos, and the “J’s List AI” name and brand, are owned by J’s List AI or its licensors and are protected by copyright, trademark, and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

All rights not expressly granted are reserved. You may not use our trademarks without our prior written permission.

12.Copyright & DMCA

We respond to properly submitted notices of copyright infringement under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe material on the Service infringes your copyright, send a notice to our designated agent that includes: (a) identification of the copyrighted work, (b) identification of the allegedly infringing material with enough detail to locate it, (c) your contact information, (d) a statement of good-faith belief that the use is not authorized, (e) a statement under penalty of perjury that the information is accurate and that you are the owner or authorized to act on the owner’s behalf, and (f) your physical or electronic signature.

We will remove or disable access to infringing material and terminate repeat infringers in appropriate circumstances. Knowingly misrepresenting that material is infringing may result in liability under 17 U.S.C. § 512(f).

13.Third-Party Services

The Service may link to, or integrate with, third-party services (such as Stripe for payments, email providers, analytics, or the websites of Providers). Those third parties are governed by their own terms and privacy policies, and we are not responsible for their content, practices, or availability.

14.Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that listings, Providers, Clients, proposals, deliverables, messages, or any other content on the service will meet your requirements, be accurate, be free of viruses or other harmful components, or be available at any particular time or location. Any reliance on content or persons found through the service is at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our warranties are limited to the maximum extent permitted by law.

15.Limitation of Liability

To the maximum extent permitted by law, in no event will J’s List AI, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with the service or these Terms, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the service or these Terms will not exceed the greater of (a) the total fees paid by you to J’s List AI in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

16.Indemnification

You agree to defend, indemnify, and hold harmless J’s List AI and its affiliates, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your use of the Service, (b) Your Content, (c) your violation of these Terms or any applicable law, or (d) your dealings with any other User. We may, at our option, assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

17.Dispute Resolution & Arbitration

In plain English: Read this carefully — it affects how disputes are resolved and may limit your right to sue in court or participate in a class action.

17.1 Informal Resolution First

Before filing a formal claim, you agree to first try to resolve the dispute informally by contacting us at legal@jonslistai.com with a written description of the issue. We will try in good faith to resolve the dispute within sixty (60) days.

17.2 Binding Arbitration

If we cannot resolve a dispute informally, you and J’s List AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court, except that (a) you may assert claims in small-claims court if eligible, and (b) either party may seek injunctive or equitable relief in court to protect intellectual-property rights or enforce Section 8.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or another mutually agreed arbitrator. The arbitration will take place in the state where you reside, or by videoconference. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

17.3 Class Action Waiver

You and J’s List AI agree that each may bring claims against the other only in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of a representative or class proceeding.

17.4 30-Day Opt-Out

You have the right to opt out of Sections 17.2 and 17.3 by sending a written notice of opt-out to legal@jonslistai.com within thirty (30) days of first accepting these Terms. The notice must include your name, address, account information, and a clear statement that you do not wish to resolve disputes through arbitration. Opting out will not affect any other provision of these Terms.

17.5 Severability

If any part of this arbitration clause is found unenforceable, that part will be severed and the rest will remain in effect, except that if the Class Action Waiver is found unenforceable, the entire arbitration clause will be void as to the claim so affected.

18.Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. To the extent any dispute is not subject to arbitration under Section 17, you and J’s List AI consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, and waive any objection to inconvenient forum.

Note to Users outside the United States: mandatory consumer protections in your country may apply in addition to, or instead of, this clause where required by local law.

19.Termination

19.1 By You

You may stop using the Service and close your account at any time. Instructions are in Section 6.1.

19.2 By Us

We may suspend or terminate your account or access to all or part of the Service, with or without notice, if we reasonably believe you have violated these Terms, pose a security or legal risk to us or other Users, or if required by law. We may also discontinue the Service in whole or in part at any time.

19.3 Effect of Termination

Upon termination, your right to use the Service ends immediately and your listings may be removed. Sections that by their nature should survive termination (including ownership, fees already incurred, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law) will survive.

20.Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the “Last Updated” date above and, for material changes, give you at least thirty (30) days’ advance notice by email or through the Service before the change takes effect. Continuing to use the Service after the effective date of the revised Terms constitutes acceptance of the revised Terms. If you do not agree, stop using the Service, remove any active listings, and close your account before the effective date.

21.Miscellaneous

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced here, constitute the entire agreement between you and J’s List AI regarding the Service and supersede any prior or contemporaneous agreements.

21.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be reformed to the minimum extent necessary to make it enforceable.

21.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

21.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms without restriction, including to an affiliate or in connection with a merger, acquisition, or sale of assets.

21.5 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and J’s List AI.

21.6 Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, government action, or infrastructure or telecommunications failures.

21.7 Notices

We may give notice to you by email to the address associated with your account or by posting on the Service. You may give notice to us at legal@jonslistai.com.

21.8 Export & Sanctions

You represent that you are not located in, or a national of, any country subject to U.S. government embargo, and that you are not on any U.S. government list of prohibited or restricted parties.
